TERMS AND CONDITIONS – FOR USERS OF HYPERDOCK PRIVATE LIMITED’S APPLICATION – ZYE

** PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE ACCESSING OR USING THE SERVICES OFFERED BY HYPERDOCK PRIVATE LIMITED **

A. APPLICABILITY By accessing and using the services provided by Hyperdock Private Limited (“Company”), a private limited company, having Corporate Identification Number U47912KA2024PTC195309 and having its registered office at No. 814, Hara Vijaya Heights, Talaghattapura, Pipeline Road, Thalaghattapura, Bangalore, Bangalore South, Karnataka - 560109, India, through its application (“ZYE”), you, an individual (“User”) agree to be bound by the terms and conditions set out herein. The User hereby acknowledges and agrees that the terms and conditions contained herein shall govern the use of the services offered to him/her by the Company and use of the services by him/her is sufficient to constitute as a legally enforceable contract against him/her. The terms and conditions set out herein may be amended by the Company from time-to-time and such terms and conditions shall come into effect upon notification either at the Company’s website or its ZYE application. The User hereby acknowledges and agrees that the terms and conditions contained herein expressly supersede prior agreements or agreements between him/her and the Company. B. NATURE OF SERVICES The User hereby expressly acknowledges that the Company does not operate as an aggregator of aggregators and onboards individual cab drivers as independent service providers. The Company is not a transportation carrier, and does not employ any drivers. The Company merely provides access to its application ZYE (a discovery platform) which enables the Users to search for and connect with available cab drivers near them and arrange for scheduling transportation services for their personal and non-commercial use. C. USE OF THE ZYE APPLICATION The User agrees and acknowledges that upon downloading the Company’s application, ZYE, the User is granted a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to use the Company’s application ZYE for personal and non-commercial use to only search for available cab drives and arrange for transportation services. Further, the User shall not undertake any activity, directly or indirectly, to (i) cause any modification or generate derivative works out of the Company’s application; (ii) cause any reverse-engineering on such application; (iii) replicate or remove any intellectual property of the Company on its application; (iv) collect, scrape, index or survey any data from the Company’s application. The User hereby acknowledges and agrees that the Company is the sole and exclusive owner, or is the lawful licensee of, all rights, title, and interest in and to the Company’s platform and any other digital media, together with all content made available therein. Such content includes, without limitation, the overall look and feel, design, layout, text, photographs, graphics, audio, video, and all other material. The User further acknowledges and agrees that the Company holds the intellectual property rights in and to its application except for the content belonging to third parties and links directing users to external third-party websites available on the application (if any). The User expressly confirms that he/her has attained the age of 18 (Eighteen) years to access the Company’s application. Further, the User shall not let any person below the age of 18 (Eighteen) years to independently access the Company’s application from his/her device. The account opened by the User shall not be assigned by him/her in favour of any third person. By accessing the Company’s application, ZYE, the User agrees and acknowledges that his/her certain personal information and details such as name, age, mobile number, pick-up location and drop location will be collected by the Company, which will be protected as per the Company’s privacy policy. The User further agrees that he/her shall not impersonate any person and shall provide details belonging to only him/her. [Comment: Zye shall ensure that it has notified a privacy policy either on its website/application in accordance with the applicable laws for protection of User’s personal information.] The User acknowledges and agrees that it is his/her responsibility to secure the data network connectivity required for accessing the Company’s application. Use of the Company’s application may result in payment of standard data, messaging, and other charges imposed by the User’s mobile network provider and the User shall solely bear all such charges. It shall be the responsibility of the User to procure and maintain compatible devices, equipment, and hardware necessary to access and use the Company’s application and any updates hereto. The Company provides no representation or warranty that its application, or any feature or component thereof, will operate on any specific device or hardware. Further, the Company shall not be responsible for any interruptions, errors, delays, or other limitations arising from the nature of internet and electronic communication systems. In case any User wishes to raise any grievance or dispute with respect to the Company’s application or the transportation services or the cab driver, such grievance or dispute shall first be raised by the User on the Company’s application. D. TERM AND TERMINATION The Company is entitled to terminate the User’s access to its application at all times and with immediate effect if the User: (a) violates or breaches any term of these terms and conditions; (b) in the opinion of the Company, misuses the Company’s application or services provided by the Company; or (c) if there is reason to believe that the account on the Company’s application is being used fraudulently. In addition to the above grounds, Company may terminate the User’s access to its application with immediate effect at its sole discretion without assigning any cause. The Company is not obliged to give notice of the termination in advance. After termination, the Company may give notice thereof in accordance with these terms and conditions. The Company’s failure to insist upon or enforce the User’s strict compliance with these terms and conditions will not constitute a waiver of any of the Company’s rights. E. DUTIES OF THE USER In addition to the other duties and responsibilities of the User, the User shall ensure that: (i) He/She access the Company’s application and books the ride with the cab drivers for carrying out lawful activities and refrain from doing anything which the Company may reasonably believe to be disreputable or capable of damaging the Company’s reputation; (ii) He/She shall refrain from engaging in any conduct that may disrupt or hinder the proper functioning of the Company’s application. He/She shall not use any device, software, program, file, or other technology, including but not limited to viruses, trojan horses, worms, time bombs, or cancelbots, which may damage, interfere with, or impair the performance or functionality of the Company’s application, intercept or extract any system, data, or information accessed through it, or negatively impact the operation of any other website or the internet; (iii) He/She shall not copy distribute any data or content or any source code related to the Company’s application; and (iv) He/She shall not cause any damage of any kind whatsoever to the vehicles in which he/she will travel and neither disrespect nor cause any harm to the cab drivers, either physically or emotionally. In case the User undertakes any kind of illegal activity including but not limited to physical violence, physical assault and/or sexual harassment of any kind with other users of the App, the Company shall, in its own discretion, in addition to the other rights it may have under law or equity, have the right to unilaterally delete the account of the User from the ZYE app of the Company. However, in case, the User misbehaves with any cab driver or is involved in any misconduct, an amount equivalent to INR 30(Indian Rupees Thirty) plus applicable Goods and Services Tax shall be added to the platform fee payable by the User in the subsequent trip.
